Manager, Corporate Secretarial
Our client:
Our client is a renown SGX listed conglomerate with presence spanning across Asia Pacific and other parts of the world.
Key Responsibilities
- Take minutes for Board and Board Committees
- Handle the preparation and co-ordination of AGMs/EGMs of listed entities
- Tasks include co-ordination with Share Registrars, e-Poll Voting Service Provider and Scrutineers
- Liaise with Share Registrars on general shareholder-related matters
- Quarterly lodgment of statutory filings with MAS for business trusts
- Liaise with external secretarial firms, as and when necessary, on corporate secretarial matters of overseas subsidiaries
- Manage dividend payments of listed entities
- Maintain unclaimed dividend registers and handle requests for replacement cheques from shareholders
- Manage the allotment of shares in respect of the Company’s Restricted Share Plan and/or the Performance Share Plan
- Liaise with external service provider on incorporation matters
- Handle change of name and strike-off of Singapore incorporated companies
Key Qualifications
- Minimum Bachelor’s degree in Finance or Law, or equivalents; currently pursuing or possessed Chartered Secretaries Institute of Singapore (CSIS) qualification or similar licence.
- Minimum 7 years of experience in corporate secretarial roles, with experience in an in-house corporate setting of a sizable SGX listed Group.
- Excellent communication capability with strong written, verbal and presentation skills; meticulous and attention to details especially for minutes writing
- High integrity and discretion in handling confidential information
- Proficiency in understanding board dynamics and management interactions.
- Excellent interpersonal skills; experienced in handling senior stakeholders and board members
- High sense of responsibility with strong time management skills to meet deadlines.
- Demonstrated ability to work effectively, both as a leader and team member
